In 1985, one of the most surprising acquisitions in corporate history took place. Capital Cities Communications, a highly profitable but relatively small media company, acquired ABC, one of the nation's "Big Three" television networks, with a much larger portfolio of assets, national news operations, entertainment programming, and sports broadcasting. ABC was roughly **four times larger** than Capital Cities. When Capital Cities announced it would acquire ABC for **$3.5 billion**, the business world was stunned. The deal quickly became known as **"the minnow swallowing the whale."** With financing from investors including **Warren Buffett** and other lenders, Capital Cities completed what was then the largest non-oil corporate acquisition in U.S. history. Capital Cities had built a reputation for operating efficiently, controlling costs, and consistently generating strong profits from its properties. CEO **Tom Murphy** focused on maximizing the performance of every asset rather than pursuing growth for its own sake. ABC, while possessing exceptional brands and valuable media assets, had become less efficient. Capital Cities believed the company's businesses could be managed more effectively by reducing unnecessary expenses, streamlining operations, and improving capital allocation. Rather than changing ABC's programming overnight, management concentrated on improving the economics of the business. Costs were reduced, decision-making became more efficient, and profitability improved across the organization. The acquisition proved highly successful and became a landmark case study in business strategy. Today, the transaction remains one of the best examples of an important lesson in corporate finance: **A company's ability to acquire another business is determined less by its size than by its financial strength, operational excellence, access to capital, and confidence that it can create more value from the acquired assets than the current owner.** The Capital Cities–ABC acquisition demonstrated that a smaller, exceptionally well-managed company can successfully purchase and improve a much larger competitor when it combines disciplined operations with sound financing and a clear strategy for creating value. https://preview.redd.it/2ryw9m4mgtih1.png…

    Very appropriate and relevant historical reference to share. It’s also where one of my favorite quotes from Warren Buffett came from. In his 1985 letter to shareholders, he was referring to this CC ABC deal and to be patient: **"No matter how great the talent or efforts, some things just take time. You can't produce a baby in one month by getting nine women pregnant."**
